Terms of Service

1. Acceptance of Terms
By accessing or using Mira Health services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services. These terms constitute a legally binding agreement between you and Mira Health, Inc.
2. Description of Services
Mira Health provides AI-powered clinical documentation, medical coding, billing intelligence, and practice operations software designed specifically for orthopedic healthcare providers. Our services include real-time encounter transcription, SOAP note generation, operative report creation, CPT/ICD-10 code suggestions, revenue cycle management tools, and AI-powered patient communication.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
4. HIPAA Compliance
Mira Health operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). A Business Associate Agreement (BAA) is required before any Protected Health Information (PHI) is processed through our platform. We maintain HIPAA-compliant infrastructure, including encryption at rest and in transit, access controls, and audit logging.
5. Acceptable Use
You agree to use Mira Health services only for lawful clinical purposes. You may not: (a) use the services for non-clinical or non-healthcare purposes; (b) attempt to reverse-engineer, decompile, or disassemble any part of the platform; (c) share account credentials with unauthorized users; (d) use the services to process data for individuals who have not consented to such processing; or (e) attempt to circumvent any security measures.
6. Intellectual Property
Mira Health retains all rights, title, and interest in the platform, including all software, algorithms, and documentation. Your clinical data remains your property. We do not claim ownership of any patient data or clinical content generated through your use of the platform. We do NOT use your patient data to train AI models.
7. Data Handling
Your data is encrypted at rest using AES-256 and in transit using TLS 1.3. All data is stored in US-based AWS data centers within private Virtual Private Clouds (VPCs). For complete details on how we handle your data, please refer to our Privacy Policy. Data retention periods are configurable based on your organizational policies.
8. Payment Terms
Services are billed on a monthly subscription basis. Payment is due at the beginning of each billing cycle. We reserve the right to modify pricing with 30 days written notice. If you dispute a charge, you must notify us within 30 days of the billing date. Refunds are handled on a case-by-case basis.
9. Limitation of Liability
Mira Health is a documentation and decision-support tool. It is not a substitute for clinical judgment. The healthcare provider is responsible for the final review and approval of all documentation, coding suggestions, and clinical decisions generated by the platform. Mira Health shall not be liable for any clinical outcomes resulting from the use of AI-generated content without appropriate provider review.
10. Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, you will have 30 days to export your data. After the export period, your data will be permanently deleted from our systems in accordance with our data retention policies. We reserve the right to terminate accounts that violate these terms immediately.
11. Changes to Terms
We may update these Terms of Service from time to time. We will provide at least 30 days notice of material changes via email to the address associated with your account. Continued use of the services after changes take effect constitutes acceptance of the updated terms.
