Terms of Service

1. Acceptance of Terms

By accessing or using the Mira Health platform ("Service"), provided by Mira Technologies, Inc. ("Mira," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Mira Health is an AI-powered clinical documentation platform that records patient encounters, transcribes audio, and generates clinical notes. The Service is intended for use by licensed healthcare providers and their authorized staff at subscribing practices.

3. Eligibility and Access

The Service is available to healthcare practices that have entered into a subscription agreement with Mira. Individual user accounts are provisioned by the subscribing practice. You are responsible for maintaining the confidentiality of your login credentials.

4. Acceptable Use

You agree to use the Service only for its intended purpose: clinical documentation in authorized healthcare settings. You agree not to use the Service for any unlawful purpose, attempt to reverse engineer or disassemble the Service, share your account credentials with unauthorized individuals, or use the Service to process data outside the scope of your practice's subscription.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy at mirahealth.care/privacy. By using the Service, you acknowledge that audio recordings and transcripts are processed by third-party AI services as described in the Privacy Policy and our Subprocessor List at mirahealth.care/subprocessors.

6. HIPAA and Business Associate Agreement

For subscribing healthcare practices, the terms of our Business Associate Agreement (BAA) govern the handling of protected health information (PHI). The BAA is executed as part of the practice subscription agreement and supplements these Terms.

7. AI-Generated Content

Clinical notes and documentation generated by the Service are AI-assisted outputs intended to support, not replace, clinical judgment. The treating provider is responsible for reviewing, editing, and approving all generated documentation before use in patient care or medical records.

8. Intellectual Property

The Service, including its software, design, and documentation, is owned by Mira Technologies, Inc. and protected by applicable intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Mira shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the fees paid by your practice in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms or if your practice's subscription is terminated. Upon termination, your right to use the Service ceases immediately.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
